Service contracts that hold, for plants that must run
Desalination plants, water treatment, cooling systems and power plants are bought once and run for twenty years. Most of the money is in how they are operated and maintained. We help owners get that part right.
Our technical lead has worked on O&M, LTSA and performance-guarantee terms for hydrogen, ammonia and desalination projects; associate engineers bring power-plant and water-treatment operation.
Long-term service agreements and O&M contracts
- Scope: what the contractor maintains, replaces and guarantees, and what stays with the owner
- KPIs: availability, output, water quality, specific energy and chemical use
- Performance guarantees, liquidated damages, bonus and malus, measured the same way both sides agree
- Spare parts, major overhauls and the end-of-contract condition
- Reporting and data duties, including the emission and energy data your lenders and buyers ask for
Where disputes start
How contractual availability is often written:
Availability = (period hours − forced outage hours − planned outage hours above the allowance) ÷ period hours
The arithmetic is simple. The arguments are about the definitions: who logs an outage, when a derate counts, how large the allowance is, which events are excused. We settle the definitions before signature, so each month's figure is a reading, not a debate.
Three moments where an owner wins or loses money
Concept design and specifications
What to buy, written so that bids can be compared on the same basis.
Tenders and bid evaluation
Technical and commercial scoring on lifetime cost, not only on price; clarifications that close the gaps.
LTSA and O&M terms
Scope split, KPIs, availability and performance guarantees, measured the way both sides agree.
Evidence and reporting duties
What the operator must measure and report, including the energy and emission data lenders and buyers ask for.
Owner's engineer
Design review, performance tests and contractor follow-up on the owner's side.
Water treatment, cooling water, desalination
Treatment programs, dosing and monitoring, scaling and corrosion, energy per cubic meter, reuse.
Power plants
Gas turbine and plant LTSAs, availability guarantees, and the plant and grid emission factors your buyers ask for.
Where we stop
Detailed and stamped design is done by licensed partner firms. The contractor guarantees performance; we check the evidence.
A contract review, step by step
You send the draft or signed LTSA or O&M contract, with the tender documents if there are any. You receive a clause-by-clause review note or a marked-up draft, the KPI and availability definitions written out in full, and an issues list ranked by the money at risk. The time it takes is fixed in the quote, once we have seen the contract.
Run by the technical lead, with the associate engineer for power plants or for water where the plant needs it.
Send us one contract.
We mark where the scope, the KPIs and the guarantees leave you exposed, and what to ask for at the next negotiation.
